1. Introduction

These terms and conditions (“Terms”) apply to all sales and supply of windows and related products (“Products”) by Smart Trade Living Ltd (“we”, “us”, or “our”) to trade customers (“you” or “your”). By placing an order with us, you agree to these Terms.

2. Orders

• All orders must be submitted in writing via email, phone, or our online platform.

• Orders are accepted subject to availability and confirmation from us.

• We reserve the right to refuse any order at our discretion.

3. Pricing and Payment

• Prices are exclusive of VAT unless stated otherwise.

• We reserve the right to adjust prices due to changes in materials, manufacturing costs, or other circumstances.

• Payment terms will be confirmed on a per-order basis. Late payments may incur interest at the statutory rate.

4. Delivery

• Delivery dates are estimates only. While we aim to meet agreed dates, we are not liable for delays outside our control.

• Risk passes to you on delivery. You are responsible for inspecting Products on arrival and reporting any damage immediately.

• If you fail to accept delivery, we may store the Products at your cost.

5. Returns and Cancellations

• As a trade supplier, Products are generally non-returnable unless faulty or damaged on delivery.

• Cancellation of orders must be agreed in writing before production or dispatch; fees may apply.

6. Measurements and Installation

• It is your responsibility to ensure that all measurements provided to us are accurate. We are not liable for any issues arising from incorrect measurements supplied by you.

• We supply Products only. We are not responsible for the fitting, installation, or assembly of Products, and accept no liability for any costs, damage, or issues arising during or after installation.

7. Warranty and Liability

• Products are covered by the manufacturer’s warranty, which we will provide details for at the point of sale.

• We are not liable for indirect or consequential losses, including loss of profit or business.

• Our total liability shall not exceed the value of the Products supplied.

8. Intellectual Property

• All designs, specifications, and promotional materials remain our property unless otherwise agreed in writing.

9. Force Majeure

• We are not liable for failure to fulfil orders due to circumstances beyond our reasonable control, including but not limited to strikes, transport issues, or supply chain disruptions.

10. Governing Law

• These Terms are governed by the laws of England and Wales.

• Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
